1.1 By accessing or using Dock2Gdansk's B2B supplier matching platform (the "Platform"), you agree to be bound by these Terms of Use ("Terms"). These Terms form a legally binding agreement between you and Dock2Gdansk ("we," "us," or "our").

If you do not accept the changes, you may terminate the sharing of your information before the changes take effect.

2.1 Our Platform connects businesses seeking suppliers with companies offering relevant products or services. We provide sophisticated matching algorithms, secure communication tools, and comprehensive market insights to facilitate successful B2B relationships. Our service includes maintaining detailed user profiles and business requirements, analyzing needs against our comprehensive supplier database, presenting relevant matches based on your specified criteria, facilitating secure initial communication between potential partners, and providing valuable market insights and industry trends.

2.2 We target 99.5% platform availability during business hours (9 AM to 6 PM local time) and 99% availability overall. Planned maintenance will be scheduled during off-peak hours with at least 48 hours' advance notice. We provide real-time service status updates.

3.6 By posting or displaying any information, content or material on the Platform (any of such information, content or material, collectively referred to as "User Content") or providing any User Content to Dock2Gdansk and/or its affiliates and their respective representative(s), and to the extent permitted under applicable laws, you grant an irrevocable, perpetual, worldwide, royalty-free, and sub-licensable (through multiple tiers) license to Dock2Gdansk and/or its affiliates and their respective representative(s) to display, transmit, distribute, reproduce, publish, duplicate, adapt, modify, edit, translate, create derivative works using the User Content, remove any part of it (including, without limitation, the watermark or mark the User Content bears), and otherwise use any or all of the User Content in any form, media, or technology now known or not currently known in any manner, on the Platform, Dock2Gdansk and/or Third Party and for any purpose which may be beneficial, whether directly or indirectly, to Dock2Gdansk, the operation of the Platform, the provision of any services and promotion services and/or the business of the User. You confirm and warrant to Dock2Gdansk that you have all the rights, power and authority necessary to grant the above license and the User Content and use of such User Content (including derivative works) by Dock2Gdansk and/or its affiliates under such license is free from any infringement or violation of any Third Party Rights (as defined in clause 5.4 of the Terms). To the maximum extent permitted by law, you waive your right to enforce your Intellectual Property Rights in the User Content against Dock2Gdansk and/or its affiliates, assignees or sub-licensees in connection with use of such User Content in connection with the Services. Information that is protected under data protection laws will only be used and kept in compliance with those laws.

4.1 When submitting an inquiry, you must provide accurate, complete, and current information including valid business contact information with verifiable email and phone numbers, accurate company details including registration numbers and industry classification, and legitimate business addresses and operational locations.

5.1 Each User represents, warrants and agrees that (a) you have full power and authority to accept the Terms, to grant the license and authorization and to perform the obligations hereunder; (b) your access and use the Platform and services will be for business purposes only; and (c) for users who are business entities, the address you provide when registering is the principal place of business of your business entity. For purposes of this provision, a branch or liaison office will not be considered a separate entity and your principal place of business will be deemed to be that of your head office.

5.2 User will be required to provide information or material about your entity, business or products/services as part of the registration process on the Platform for your access to and use of any service. Each user represents, warrants and agrees that (a) such information and material whether submitted during the inquiry process or thereafter throughout the continuation of the use of the Platform or service is true, accurate, current and complete, and (b) you will maintain and promptly amend all information and material to keep it true, accurate, current and complete.

5.3 Upon becoming an User, you consent to the inclusion of the contact information about you in our database and authorize Dock2Gdansk and our affiliates to share the contact information with other suppliers, customers or otherwise use your personal information in accordance with the Privacy Policy.

5.4 Each User represents, warrants and agrees that (a) you shall be solely responsible for obtaining all necessary third party licenses and permissions regarding any User Content that you submit; (b) any User Content that you submit does not infringe or violate any of the intellectual property, trade secrets or any other personal or proprietary rights of any third party ("Third Party Rights"); and (c) you have the right and authority to sell, trade, distribute or export or offer to sell, trade, distribute or export the products or services described in the User Content and such sale, trade, distribution or export or offer does not violate any Third Party Right.

5.5 Each User further represents, warrants and agrees that the User Content that you submit shall: a) be true, accurate, complete and lawful; b) not be false, misleading or deceptive; c) not contain information that is defamatory, libelous, threatening or harassing, obscene, objectionable, offensive, sexually explicit or harmful to minors; d) not contain information that is discriminatory or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation or age; e) not violate other Terms or any applicable additional agreements; f) not violate any applicable laws and regulations (including without limitation those governing export control, consumer protection, unfair competition, price gouging or false advertising, environmental protection or promote any activities which may violate any applicable laws and regulations; g) not contain any link directly or indirectly to any other web sites which includes any content that may violate the Terms.

5.5 每位用户进一步声明、保证并同意您提交的用户内容应：a) 真实、准确、完整和合法；b) 不得虚假、误导或欺骗；c) 不得包含诽谤、中伤、威胁或骚扰、淫秽、令人反感、冒犯性、色情或对未成年人有害的信息；d) 不得包含基于种族、性别、宗教、国籍、残疾、性取向或年龄的歧视性信息或宣传歧视；e) 不得违反其他条款或任何适用的附加协议；f) 不得违反任何适用的法律法规（包括但不限于出口管制、消费者保护、不正当竞争、价格欺诈或虚假广告、环境保护等法律法规）；g) 不得包含直接或间接链接到任何可能违反本条款内容的其他网站。

5.6 Each User further represents, warrants and agrees that you may use our Platform exclusively to seek suppliers or customers for legitimate business purposes, share accurate and up-to-date information about your business needs or capabilities, communicate professionally and ethically with potential business partners, access market insights and data relevant to your industry and business operations, and utilize our matching algorithms to identify suitable business opportunities.

5.7 Each User further represents, warrants and agrees that you may not post illegal, fraudulent, defamatory, or harmful content, infringe others' intellectual property rights or violate confidentiality obligations, attempt unauthorized access to our systems, interfere with Platform operations or disrupt other users' experience, use the Platform to directly compete with our services or develop competing platforms, engage in price manipulation, bid rigging, or other anti-competitive practices, or violate applicable trade sanctions, export controls, or anti-corruption laws.

5.6 Each Member further represents, warrants and agrees that you shall/are a) not involve any scheme to undermine the integrity of the data, systems or networks used by Dock2Gdansk and/or any user of the Platform or gain unauthorized access to such data, systems or networks; b) not, and your director(s), officer(s), controlling party/ies, affiliates and legal jurisdiction in which any of the foregoing persons or entities is organized or has operations are not, persons or entities that are subject to any economic or fraud sanctions of any governmental, international or regulatory entities; and c) not engage in any activities that would otherwise create any liability for Dock2Gdansk or our affiliates.

5.11 User acknowledges and agrees that the platform and services may only be used by businesses and their representatives for business use and not for individual consumers or for personal use.

5.12 User acknowledges and agrees that each User is solely responsible for observing applicable laws and regulations in its respective jurisdictions to ensure that all access and use of the Platform and services are in compliance with the same.

5.14 All Platform interactions must maintain high professional standards. Users must honor good faith negotiations and preliminary agreements, provide honest assessments of business capabilities and requirements, respect confidential information shared during business discussions, promptly communicate material changes in business needs, capabilities, or circumstances, report suspected fraudulent activity or terms violations immediately, and comply with all applicable industry regulations and professional standards.

5.15 If, at any time, you fail to meet any of the above requirements, you should stop using the services immediately. If Dock2Gdansk reasonably believes that any of your conduct violates or threatens to violate any applicable laws and regulations, Dock2Gdansk may, at its sole discretion, at any time take action as it may deem appropriate in light of the circumstances, including, but not limited to, terminating the provision of services to you, and suspending access to shared data, while reserving all rights it may have regarding any non-compliant actions or conduct of its members.

6.1 Dock2Gdansk reserves the right in our sole discretion to remove, modify or reject any User content (in whole or in part) that you submit to the Platform which we reasonably believe (i) violates any applicable laws and regulations, (ii) violates the Terms hereunder, (iii) could subject Dock2Gdansk or our affiliates to liability, (iv) infringes any Third Party Rights, (v) could harm the interests of our users, third party or Dock2Gdansk or our affiliates, or (vi) is otherwise found inappropriate in Dock2Gdansk's sole discretion.

6.2 If any User breaches any Terms, or if Dock2Gdansk has reasonable grounds to believe that a User is in breach of any Terms, Dock2Gdansk shall have the right to take such disciplinary actions as it deems appropriate, including without limitation: (i) suspending or terminating the sharing of information through the platform, at its sole discretion, without liability for any losses or damages arising out of or in connection with such suspension or termination.(ii) removing any product listings or other User content that the User has submitted; (iii) imposing other restrictions on the User's use of any features or functions of any Service as Dock2Gdansk may consider appropriate in its sole discretion; and (iv) any other corrective actions as Dock2Gdansk may deem necessary or appropriate in its sole discretion.

6.3 Without limiting the generality of the provisions of the Terms, a User would be considered as being in breach of the Terms in any of the following circumstances: a) Dock2Gdansk has reasonable grounds to suspect that any information provided by the User is not current or complete or is untrue, inaccurate, or misleading, or b) Dock2Gdansk believes that the User's actions may cause financial loss or legal liability to Dock2Gdansk or our affiliates or any other Users.

6.4 Dock2Gdansk reserves the right to cooperate fully with governmental or regulatory authorities, law enforcement bodies, private investigators and/or injured third parties in the investigation of any suspected criminal or civil wrongdoing. Further, to the extent permitted by applicable laws and policies, Dock2Gdansk may disclose the user's identity, contact information, and/or information shared through the platform or activities carried out on or via the Platform, if requested by a government, regulatory or law enforcement body or an injured third party, or as a result of a subpoena or other legal action. Dock2Gdansk shall not be liable for damages or results arising from such disclosure, and User agrees not to bring any action or claim against Dock2Gdansk for such disclosure.

6.6 Each Member agrees to indemnify Dock2Gdansk, our affiliates, directors, employees, agents and representatives and to hold them harmless, from any and all damages, losses, claims and liabilities (including legal costs on a full indemnity basis) which may arise from your submission, posting or display of any User content, from your access to or use of the Platform or services, or from your breach of the Terms or any Additional Agreements.

6.7 Each User further agrees that Dock2Gdansk is not responsible, and shall have no liability to you or anyone else for any User content or other material transmitted through the Platform or services, including fraudulent, untrue, misleading, inaccurate, defamatory, offensive or illicit material and that the risk of damage from such User content or other material rests entirely with the User. Dock2Gdansk reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by the User, in which event the User shall cooperate with Dock2Gdansk in asserting any available defenses.

7.1 Through the Platform, Dock2Gdansk provides electronic web-based platforms for exchanging information between Users and potential counterparties of products and services. However, for any Services, Dock2Gdansk does not represent any counterparty in specific transactions. Dock2Gdansk does not control and is not liable or responsible for the quality, safety, lawfulness or availability of the transactions offered via the Platform, the ability of the counterparties to complete transactions.

7.3 Users accessing or using the Platform or services shall assume the risks of conducting any transactions in connection with or through the Platform or services. Users accessing or using the Platform or services shall also fully assume all risks of liability or harm of any kind arising out of or in connection with any subsequent activity relating to the transactions. Examples of such risks shall include, but are not limited to, mis-representation of products and services, fraudulent schemes, unsatisfactory product quality, failure to meet specifications, defective or dangerous products, unlawful products, delay or default in delivery or payment, cost mis-calculations, breach of warranty, breach of contract, transportation accidents, the risk that the manufacture, importation, export, distribution, offer, display, purchase, sale and/or use of products or services may violate or may be asserted to violate Third Party Rights, and the risk that Users may incur costs of defense or other costs in connection with third parties' assertion of Third Party Rights, or in connection with any claims by any party that they are entitled to defense or indemnification in relation to the assertion of rights, demands or claims by claimants of Third Party Rights. All of the foregoing risks are referred to as "Transaction Risks". Dock2Gdansk is not liable or responsible for any damages, claims, liabilities, costs, harm, inconveniences, business disruptions or expenditures of any kind that may arise a result of or in connection with any Transaction Risks.

7.6 In the event that any User has a dispute with any party to a transaction, such User agrees to release and indemnify Dock2Gdansk (and our agents, affiliates, directors, officers and employees) from all claims, demands, actions, proceedings, costs, expenses and damages (including without limitation any actual, special, incidental or consequential damages) arising out of or in connection with such dispute or the transaction.

8.1 You retain full ownership of all content you submit to the Platform including business descriptions, service requirements, and communications. By posting content, you grant us a limited, worldwide, royalty-free license to use, display, reproduce, and distribute your content solely for the purpose of providing and improving Platform services.

You must not post content that violates applicable laws or regulations, infringes intellectual property rights of third parties, contains confidential information you're not authorized to disclose, includes malicious code, viruses, or harmful links, or violates professional obligations or industry standards.

8.4 The Platform, including its design, matching algorithms, software architecture, user interface, branding, and proprietary methodologies, constitutes our intellectual property or is licensed to us under appropriate agreements. Our matching algorithms, market analysis tools, and business methodologies are proprietary trade secrets protected by applicable intellectual property laws.

8.6 To the largest extent permissible under applicable law, all rights, title and interest to all derivative work created by Dock2Gdansk and/or its affiliates using User content pursuant to the Terms shall belong to Dock2Gdansk, which may be freely assignable, licensable or grantable by Dock2Gdansk to any third party or its affiliates.

9.1 We facilitate business connections but make no guarantees about match quality, business outcomes, partner reliability, or transaction success. We implement reasonable verification measures but don't independently verify all user information, business claims, or financial capabilities of Platform users.

9.2 To the maximum extent permitted by law, Dock2Gdansk makes no representations or warranties about the validity, accuracy, correctness, reliability, quality, stability, completeness, or currentness of any information provided on or through the Platform, and Dock2Gdansk makes no representations or warranties of any kind concerning any service offered on the Platform. Users acknowledge that business relationships inherently carry commercial risks that are outside our control. Users are solely responsible for conducting appropriate due diligence on potential partners, verifying credentials, capabilities, and business legitimacy, negotiating suitable contract terms and protection mechanisms, ensuring compliance with applicable industry regulations, and managing ongoing business relationships and dispute resolution.

9.3 Any material and information obtained through the Platform or services is done at each User's sole discretion and risk and each User is solely responsible for any damage to its own.

9.4 No advice or information, whether oral or written, obtained by any User from Dock2Gdansk or through or from the Platform shall create any warranty not expressly stated herein.

9.5 Each User hereby agrees to indemnify and hold Dock2Gdansk, our affiliates, directors, officers and employees harmless, from any and all losses, claims, liabilities (including legal costs on a full indemnity basis) which may arise from such User's access to or use of the Platform or services or from your breach of any of the representations, warranties hereunder and the terms and conditions of the Terms. Each User hereby further agrees to indemnify and hold Dock2Gdansk, our affiliates, directors, officers and employees harmless, from any and all losses, damages, claims, liabilities (including legal costs on a full indemnity basis) which may arise from User's breach of any representations and warranties made by User to Dock2Gdansk, including but not limited to those set forth in clause 5 hereunder.

9.5 Each User hereby further agrees to indemnify and save Dock2Gdansk, our affiliates, directors, officers and employees harmless, from any and all losses, damages, claims, liabilities (including legal costs on a full indemnity basis) which may arise, directly or indirectly, as a result of any claims asserted by Third Party Rights claimants or other third parties relating to the User content, information and/or products offered. Each User hereby further agrees that Dock2Gdansk is not responsible and shall have no liability to you, for any material posted by others, including defamatory, offensive or illicit material and that the risk of damages from such material rests entirely with each User. Dock2Gdansk reserves the right, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with Dock2Gdansk in asserting any available defenses.

8.7 Dock2Gdansk shall not be liable for any special, direct, indirect, punitive, incidental or consequential damages or any damages whatsoever (including but not limited to damages for loss of profits or savings, business interruption, loss of information), whether in contract, negligence, tort, equity or otherwise or any other damages resulting from any of the following: a) the use or the inability to use the Platform or services; b) violation of Third Party Rights or claims or demands that User's manufacture, importation, exportation, distribution, offer, display, purchase, sale and/or use of products or services offered on the Platform or through the services may violate or may be asserted to violate Third Party Rights; or claims by any party that they are entitled to defense or indemnification in relation to assertions of rights, demands or claims by Third Party Rights claimants; c) unauthorized access by third parties to data or private information of any User; d) statements or conduct of any User of the Platform or services; or; f) any matters relating to the Platform or services, however arising, including negligence.

8.8 The limitations and exclusions of liability to you under the Terms shall apply to the maximum extent permitted by law and shall apply whether or not Dock2Gdansk has been advised of or should have been aware of the possibility of any such losses arising.

9.1 Dock2Gdansk strives to maintain high Platform availability and target 99.5% uptime during standard business hours and 99% overall availability. We may experience occasional downtime for essential maintenance, security updates, or technical improvements. Planned maintenance will be scheduled during off-peak hours with at least 48 hours' advance notice through email and platform notifications.

9.2 In cases of emergency maintenance, security incidents, or technical failures, Dock2Gdansk will work to restore service as quickly as possible and provide regular status updates. Dock2Gdansk maintain comprehensive backup systems and disaster recovery procedures to minimize service disruptions.

9.3 Dock2Gdansk continuously improve our Platform and may modify, update, add, or discontinue features at any time to enhance user experience, comply with legal requirements, or address security concerns. Dock2Gdansk will provide reasonable advance notice for significant changes that materially affect service functionality, typically 30 days for major feature removals or substantial workflow changes.

9.4 Dock2Gdansk shall not be liable for or required to pay compensation of any nature whatsoever for any loss arising from the unavailability, inconvenience or failures of the services or systems due to the following reasons: (i) system shut-down for maintenance; (ii) inability to transmit data due to failures in communications terminals or telecommunications equipment; (iii) systems failure and inability to perform its functions due to force majeure events including but not limited to typhoons, earthquakes, tsunamis, floods, power failure, fires, storms, war, political unrest, labour strikes, shortage of labor or materials, riots, insurrections, civil disturbances, terrorist attack, explosions, acts of God, governmental actions, orders of domestic or foreign courts or tribunals, non-performance of third parties; or (iv) suspension or delay of services or systems failure due to reasons beyond the reasonable control of Dock2Gdansk such as hacker or cyber attacks, technical adjustments or failure of the telecommunications department, website upgrades, third party problems or any suspension or disruption of transportation or business operation (including but not limited to delays or disruption of the resumption of work or operation ordered by any government agency) in the event of a national or regional spread of epidemic or pandemic.

10.1 All Platform users must comply with applicable anti-corruption laws including the US Foreign Corrupt Practices Act (FCPA), UK Bribery Act, Anti-Money Laundering Law of the People's Republic of China, and equivalent laws in other jurisdictions. Users must not offer, pay, or accept bribes or improper payments, engage in facilitation payments or kickbacks, or violate local anti-corruption regulations.

10.2 We screen users against applicable sanctions lists including OFAC, EU sanctions lists, and Chinese regulatory lists. Users must comply with all applicable export control laws and trade sanctions. We may immediately halt data sharing with organizations that are listed on sanctions lists or involved in prohibited activities.

11.1 Before initiating formal legal proceedings, parties must attempt good faith resolution through our internal dispute mechanism. Submit disputes to info@dock2gdansk.com with detailed descriptions of the issue, relevant supporting documentation, and proposed resolution. We'll facilitate resolution discussions and provide written responses within 30 days.

12.1 All legal notices or demands to or upon a User shall be effective if either delivered personally, sent by email to the last-known email address provided by the User to Dock2Gdansk, or by posting such notice or demand on an area of the Platform that is publicly accessible without a charge. Notice to a User shall be deemed to be received by such User if and when: a) Dock2Gdansk is able to demonstrate that communication in electronic form, has been sent to such User, or b) immediately upon Dock2Gdansk posting such notice on an area of the Platform that is publicly accessible without charge.

12.2 You agree that all agreements, notices, requests, disclosures, and other communications sent to you by Dock2Gdansk in electronic form satisfy any legal requirement that such communications be in writing.
